CONSTITUTION OF THE INTERNATIONAL LIFELONG MEDICAL EDUCATION SOCIETY

ARTICLE I. NAME AND PURPOSE

Section 1. Name
The name of the organization shall be the International Lifelong Medical Education Society, hereafter referred to as "the Society."

Section 2. Purpose
The purpose of the Society is to promote lifelong learning and professional development among medical practitioners worldwide. To achieve this, the Society shall:

a. Foster international cooperation and exchange of knowledge and best practices in medical education.

b. Encourage innovation and research in medical education.

c. Provide a platform for the dissemination of information, ideas, and resources related to medical education.

d. Advocate for policies and practices that support lifelong learning in the medical profession.

ARTICLE II. MEMBERSHIP

Section 1. Membership Eligibility
Membership in the Society shall be open to any individual or organization that supports the purpose of the Society.

Section 2. Membership Categories
The Society shall have the following membership categories:

a. Regular Members: individuals who have an interest in medical education and meet the eligibility criteria for membership.

b. Institutional Members: organizations that support the purpose of the Society.

c. Student Members: individuals who are enrolled in a medical education program and meet the eligibility criteria for membership.

Section 3. Rights and Responsibilities of Members
All members shall have the right to:

a. Attend and participate in Society meetings and events.

b. Vote on matters brought before the membership.

c. Serve on Society committees.

d. Access Society resources and publications.

All members shall have the responsibility to:

a. Abide by the Society's bylaws and rules.

b. Support the Society's purpose and activities.

c. Pay annual membership dues.

ARTICLE III. OFFICERS

Section 1. Officers
The officers of the Society shall be a President, a Vice President, a Secretary, and a Treasurer. The officers shall be elected by the membership for a term of two years.

Section 2. Duties of Officers
The duties of the officers shall be as follows:

a. The President shall preside over Society meetings, appoint committees, and serve as the Society's spokesperson.

b. The Vice President shall assume the duties of the President in their absence and perform other duties as assigned by the President.

c. The Secretary shall maintain records of Society activities and meetings and handle Society correspondence.

d. The Treasurer shall manage the Society's finances and report on its financial status to the membership.

ARTICLE IV. MEETINGS

Section 1. Annual Meeting
The Society shall hold an annual meeting at a time and place designated by the officers.

Section 2. Special Meetings
Special meetings of the Society may be called by the President or by a majority of the officers or members.

ARTICLE V. COMMITTEES

Section 1. Committees
The Society may establish standing or ad hoc committees to carry out its work.

Section 2. Committee Membership
Committee members shall be appointed by the President with the approval of the officers.

ARTICLE VI. AMENDMENTS

Section 1. Amendments to the Bylaws
These bylaws may be amended by a two-thirds vote of the members present at any meeting of the Society.

ARTICLE VII. DISSOLUTION

Section 1. Dissolution
In the event of the dissolution of the Society, its assets shall be distributed to one or more organizations that are organized and operated exclusively for charitable, educational, religious, or scientific purposes and that qualify as exempt organizations under Section 501(c)(3) of the Internal Revenue
